Terms and Conditions

1. Definitions – It is mutually agreed that the following terms and conditions form an integral part of this contract/invoice and that no variation or modification of this contract shall be effective unless accepted by Clarence Clay acting as CNSH LLC dba Hideout Studio. (also called “Hideout Studio”) in writing.

2. Agreement and acceptance of terms — All agreements and transaction between Hideout Studio, and any clients are subject to these terms and conditions. All clients who book any product or service from Hideout Studio agree from that point forward to be bound by these terms and conditions.

3. Display – Hideout Studio reserve the right for any photograph created during sessions to be displayed in the studio, portfolio, or in any other advertising directly associated with Hideout Studio, unless the subject expresses a wish for their image to not be displayed. Confidentiality of the client, is paramount. This excludes Boudoir and any other sessions of discretion.

4. Force Majeure – Every effort will be made to carry out the contract but its due performance is subject to alteration or cancellation by Hideout Studio owing to any cause beyond their control (e.g. acts of God, change in legislation, floods, fire, computer failure, etc). In the unlikely event of cancellation of this contract by Hideout Studio, liability shall be limited to a full refund of all monies paid.

5. Jurisdiction – These Terms and Conditions shall be governed and construed in accordance with the Laws in the State of Ohio.

6. Payment – Payment may be collected in multiple ways. We do not accept checks. Fees that apply to certain payment methods atypical from Square, Cash App, Venmo, PayPal, or Zelle, are the responsibility of the Guest. For Events, we do accept 50% deposit on bookings up to 14 days before the event. At 14 days before the event, payment in full is required. For visual services, we do not accept deposits. Afterpay and Klarna may be available for financing, but is not guaranteed.

7. Prices – All services and/or goods are supplied at the current prices ruling at the time of supply and are subject to change without prior notice. Offers and discounts can only be claimed on booking and not retrospectively and new promotions/discounts cannot be claimed against existing bookings.

8. Booking – All available time slots are show via the website scheduling tool. The time slot is secured with retainer, else available for another client to schedule. Website booking must be used and is first come first serve. All Visual Services are booked after payment is completed.

9. Refund Policy – Events: We have a 14 day and 7 day deadline period. These deadlines are to the hour for the window of time. BEFORE the 14 day deadline, you may reschedule or receive refund of 100% rate minus fees. At the 14 day deadline, Rate must be paid in full and any deposit is at risk if balance is not paid. Hideout Studio Reserves the right to book another event in place of any booking that is not paid in full by the 14 day deadline. After the 14 day deadline, but BEFORE the 7 day deadline, you may request a 50% refund (long as the rate was paid in full). AFTER the 7 day deadline, no refunds are available nor can you re-schedule the event.

Visual Services: Full 100% refund is available Before 7th day prior to scheduled service. On 7th day prior to scheduled service, refund is not available for studio time reserved. Studio time accounts for $50 per hour of service. Refunds will be given with the studio time deduction and associated fees. You may additionally, reschedule service up to 48 hours prior to scheduled service. AFTER 48 hours, no refund is available.

10. Incidentals Policy — Client must provide credit card for a hold upon arrival. This hold will cover cost for any damages caused to the facility. Damages include, but are not limited to, biochemical cleaning, physical damage to fixed property, physical damage to equipment, staining of furnishings, and smoke or excessive smell removal. Damages will be assess and charged with invoice provided. It is the responsibility of the client to review facility and point out any existing damage. Hideout will release the hold within 24 hours of completed session. Initial hold amount is $100, but may be adjusted to cover any cost due.

11. All Clients and guest will abide by the COVID-19 Policy. Any violation of this policy will result in immediate dismissal from facility, with no refund.

12. Waiver and Release - By using the premises, facilities and equipment (individually and/or collectively) of Hideout Studio, you hereby acknowledge on behalf of yourself, your heirs, personal representatives and/or assigns, that there are certain inherent risks and dangers in physical activities and use of the facility. You acknowledge that some of these risks cannot be eliminated regardless of the care taken to avoid injuries. You also acknowledge that the specific risks vary from one activity to another, but range from (1) minor injuries such as scratches, bruises, and sprains; (2) major injuries such as eye injury or loss of sight, joint or back injuries, heart attacks, and concussions; and (3) catastrophic injuries including paralysis and death. In consideration of being allowed to participate in and access the facility, you hereby (1) agree to assume full responsibility for any and all injuries or damage which are sustained or aggravated by you in relation to the session held, (2) release, indemnify, and hold harmless Hideout Studio, its direct and indirect parent, subsidiary affiliate entities, and each of their respective officers, directors, members, employees, representatives and agents, and each of their respective successors and assigns and all others, from any and all responsibility, claims, actions, suits, procedures, costs, expenses, damages, and liabilities to the fullest extent allowed by law arising out of or in any way related to use of the facility, and (3) represent that you (a) have no medical or physical condition that would prevent you from properly using facilities, (b) do not have a physical or mental condition that would put you in any physical or medical danger, and (c) have not been instructed by a physician to not participate in physical exercise.

13. Visual Service Nuances:

(a) When a minor is not accompanied by an adult, the Hideout staff reserves the right to decline service to any underage client if the attire is deemed inappropriate for a minor.

(b) The Hideout staff reserves the right to decline service to any client if anything about the session is deemed inappropriate, offensive, or goes against our core company values. The use or display of guns (fake or real), gang signs, threatening or offensive language/hand gestures, or similar entities are not allowed.

(d) A maximum of two (2) un-photographed guests are allowed per session.

(e) By booking an appointment, you agree to and accept all of the terms and conditions below

(f) In the event that company property, equipment, or props are damaged by you or your guests during your session, Hideout Studio has the right to withhold your photo gallery until payment for a replacement, or repair has been received.
